(B) The Contractor possesses the canine genetics knowledge or breeding expertise to deliver the Services competently.
(C) The Parties formalize the engagement, covering deliverables, fees, IP over breeding programs, and strict protection of pedigree records, health data, and buyer information.
Definitions and Interpretation
The terms below govern this Agreement.
"Agreement" means this Independent Contractor Agreement, its Schedules, and written amendments signed by both Parties.
"Background IP" means pre-existing Intellectual Property Rights. For the Contractor, this may include existing breeding management tools, genetic calculators, or puppy evaluation rubrics developed before the engagement.
"Confidential Information" means all non-public information, including pedigree databases, health testing results, genetic profiles, breeding pair criteria, whelping records, buyer personal details, veterinary terms, kennel club data, and pricing for puppies and stud services.
"Deliverables" means breeding protocols, health screening programs, socialization curricula, buyer contracts, marketing materials, or other outputs required under the Schedules.
"Foreground IP" means Intellectual Property Rights created during the Services, such as custom breeding management systems or buyer matching algorithms developed for the Client.
"Intellectual Property Rights" means patents, trademarks, copyright, design rights, database rights, trade secrets, and equivalent rights in any jurisdiction.
"Services" means work in the Schedule, covering genetic consulting, health screening, breeding management, puppy socialization, or breeding business marketing. Singular includes plural. Statutory references include amendments.
Status of Parties
The Contractor is an independent contractor. No employment, agency, or partnership exists. Tax, insurance, and statutory obligations from breeding consulting are the Contractor's sole responsibility.
Services and Deliverables
Services include those in the Schedule, such as genetic testing program design, health screening protocols, puppy socialization curriculum, buyer contract templates, or breeder marketing. Deliverables require Client written acceptance.
Term and Termination
This Agreement commences on the Effective Date and runs for the agreed term. On termination, the Contractor must return all Client property including pedigree records, health data, and buyer information.
