Parties and Recitals

This Independent Contractor Agreement (the "Agreement") establishes the terms between the auto body shop named below (the "Client") and the contractor engaged for specialist work (the "Contractor").

The Client operates an auto body and collision repair shop providing dent repair, panel replacement, frame straightening, paint matching, and refinishing services. Auto body work demands trained technicians using computerized paint matching systems, frame measurement equipment, welding rigs, and spray booth facilities, all while navigating insurance estimating platforms, direct repair program (DRP) requirements, and environmental regulations for paint booth emissions and waste disposal.

The Contractor has been selected for their relevant expertise in collision repair, shop management, or insurance relations.

(A) The Client needs contractor support for paint system consulting, frame repair training, insurance DRP enrollment strategy, estimating accuracy improvement, shop workflow optimization, or marketing to insurance adjusters and vehicle owners.

(B) The Contractor possesses the collision repair knowledge or shop operations expertise to deliver the Services to I-CAR or equivalent professional standards.

(C) The Parties formalize this engagement addressing deliverables, payment, IP over training and workflow systems, and the confidential handling of insurance rate agreements, paint formulations, and customer claim records.

Definitions and Interpretation

The following definitions apply throughout this Agreement.

"Agreement" means this Independent Contractor Agreement, all Schedules, and written amendments executed by both Parties.

"Background IP" means pre-existing Intellectual Property Rights. For the Contractor, this includes existing collision estimating guides, paint mixing databases, frame repair procedures, or I-CAR training materials developed before the engagement.

"Confidential Information" means all non-public information, including insurance DRP labor rates, paint system formulations and supplier pricing, frame measurement calibration data, per-job profit margins, estimating platform configurations, environmental compliance records, customer claim details, and technician hourly cost structures.

"Deliverables" means training curricula, workflow designs, estimating templates, compliance reports, marketing strategies, or other outputs required under the Schedules.

"Foreground IP" means Intellectual Property Rights created during the Services, such as custom estimating workflows, paint matching protocols, or insurance relations strategies developed for the Client.

"Intellectual Property Rights" means patents, trademarks, copyright, design rights, database rights, trade secrets, and equivalent rights in any jurisdiction.

"Services" means the work in the Schedule, covering paint consulting, frame repair training, insurance strategy, estimating optimization, shop workflow, or collision repair marketing. Singular includes plural. Statutory references include amendments.

Status of Parties

The Contractor acts as an independent contractor only. No employment, agency, or partnership exists. All tax, insurance, and statutory obligations from auto body consulting are the Contractor's responsibility.

Services and Deliverables

Services include those in the Schedule, such as paint system advisory, frame measurement training, insurance DRP strategy, estimating accuracy consulting, or shop marketing. Deliverables require Client written acceptance.

Term and Termination

This Agreement commences on the Effective Date and continues for the agreed period. On termination, the Contractor shall return Client property including paint formulations, insurance agreements, and customer claim data.
