Parties and Recitals

This Independent Contractor Agreement (the "Agreement") sets out the terms between the catering company named below (the "Client") and the specialist contractor retained to provide professional services (the "Contractor").

Catering operations span menu planning, large-scale food preparation, logistics coordination across multiple venues, staff deployment, equipment rental management, and compliance with food safety regulations at off-site locations. The complexity of multi-event scheduling and variable guest counts demands rigorous operational planning and often benefits from specialized external expertise.

The Contractor has agreed to deliver the services described in this Agreement and its Schedules, and represents that they hold the professional credentials and industry experience necessary for the engagement.

(A) The Client requires contractor support in one or more operational areas, which may include event menu design, kitchen production scaling, logistics coordination, venue compliance, staff training, or marketing for corporate and social catering segments.

(B) The Contractor possesses relevant experience in catering operations, event management, or a related food service discipline, and will perform the Services with professional diligence.

(C) The Parties wish to formalize the engagement terms, including service deliverables, compensation, ownership of work product such as event menus and presentation designs, and the protection of proprietary client lists, pricing models, and vendor arrangements.

Definitions and Interpretation

Throughout this Agreement, the following terms carry the meanings stated below unless the context requires otherwise.

"Agreement" means this Independent Contractor Agreement inclusive of all Schedules and written amendments signed by both Parties.

"Background IP" means Intellectual Property Rights existing before the Effective Date. For the Contractor, this could include pre-existing event management templates, logistics software, portion calculation models, or food presentation photography developed independently.

"Confidential Information" means all non-public information exchanged between the Parties, including corporate client lists, event pricing structures, per-head cost calculations, menu margins, vendor contracts for equipment rental, staffing agency rates, proprietary recipes scaled for high-volume production, and event logistics playbooks detailing load-in times, venue access protocols, and service timelines.

"Deliverables" means event menus, production schedules, logistics plans, training guides, marketing collateral, or other tangible outputs the Contractor must produce under this Agreement.

"Foreground IP" means Intellectual Property Rights created during the Services, such as bespoke event menus, catering presentation designs, staff deployment models, or client proposal templates developed specifically for the Client.

"Intellectual Property Rights" means patents, trademarks, copyright, design rights, database rights, trade secrets, and all equivalent rights whether registered or unregistered in any jurisdiction.

"Services" means the professional services described in the Schedule, which may include event menu development, production workflow consulting, logistics coordination, health and safety compliance, or catering sales strategy. Singular includes plural. Statutory references include amendments.

Status of Parties

The Contractor performs services as an independent contractor. No employment, agency, or partnership relationship exists between the Parties. The Contractor assumes full responsibility for taxes, national insurance, and all regulatory obligations arising from the provision of catering consulting services.

Services and Deliverables

Services shall be performed as described in the Schedule, potentially encompassing event menu planning, large-format production consulting, logistics coordination, venue compliance audits, or corporate catering sales development. Deliverables require the Client's written acceptance following inspection.

Term and Termination

This Agreement runs from the Effective Date through the agreed term or until terminated under this clause. Upon termination, the Contractor must return all Client materials including event client databases, proprietary recipes, and vendor contact lists, and deliver any outstanding work in progress.
