Parties and Recitals
This Independent Contractor Agreement (the "Agreement") governs the engagement between the janitorial service company identified below (the "Client") and the contractor providing specialist services (the "Contractor").
The Client operates a janitorial service providing daily, weekly, or periodic cleaning and sanitation to commercial offices, medical facilities, educational institutions, retail spaces, and industrial properties. Commercial janitorial operations involve managing crews across multiple buildings, coordinating after-hours access, maintaining compliance with OSHA chemical handling standards, tracking consumable inventory, and meeting contractual cleaning specifications that are often detailed and auditable by the property owner or tenant.
The Contractor brings relevant operations or training expertise and agrees to perform the Services on the terms described herein.
(A) The Client requires contractor support for crew management systems, safety and chemical handling training, commercial bid preparation, facility-specific cleaning protocol development, quality audit frameworks, or B2B marketing to property management companies.
(B) The Contractor holds professional experience in commercial cleaning operations, facility management, or occupational safety sufficient to deliver the Services competently.
(C) This Agreement documents the engagement terms, including deliverables, fees, IP over training programs and audit systems, and the protection of confidential bid pricing, building access credentials, and crew cost structures.
Definitions and Interpretation
The following definitions govern this Agreement.
"Agreement" means this Independent Contractor Agreement, all Schedules, and written amendments signed by both Parties.
"Background IP" means pre-existing Intellectual Property Rights. For the Contractor, this includes existing janitorial training modules, quality audit checklists, crew scheduling tools, or chemical safety compliance systems developed before this engagement.
"Confidential Information" means all non-public information, including commercial contract terms and pricing, building access codes and security protocols, crew wage structures, per-building profitability analyses, chemical procurement costs, client satisfaction scores, quality audit results, bid documentation, and facility-specific cleaning specifications.
"Deliverables" means training programs, quality systems, bid templates, operational manuals, safety protocols, or other outputs required under the Schedules.
"Foreground IP" means Intellectual Property Rights created during the Services, such as custom quality audit frameworks, crew training curricula, or bid preparation tools developed for the Client.
"Intellectual Property Rights" means patents, trademarks, copyright, design rights, database rights, trade secrets, and equivalent rights in any jurisdiction.
"Services" means the work in the Schedule, covering crew management, safety training, bid preparation, quality systems, facility protocol development, or janitorial marketing. Singular includes plural. Statutory references include amendments.
Status of Parties
The Contractor is an independent contractor, not an employee or agent. Tax liabilities, insurance, and all statutory obligations arising from janitorial consulting services are the Contractor's sole responsibility.
Services and Deliverables
The Contractor shall perform services in the Schedule, which may include crew management system design, OSHA compliance training, commercial bid development, quality audit implementation, or property management marketing. Deliverables require Client written acceptance.
Term and Termination
This Agreement starts on the Effective Date and runs for the agreed duration. On termination, the Contractor must return Client materials including building access records, bid documentation, and crew management data.
