The Contractor brings specialist knowledge relevant to the Client's operational needs and agrees to perform the Services on the terms described in this Agreement.

(A) The Client requires contractor support for product sourcing and import compliance, in-store merchandising and tasting room design, customer education programs, e-commerce channel development, or marketing that communicates product origin stories and artisan credentials.

(B) The Contractor possesses expertise in specialty food retail, import logistics, or artisan food marketing sufficient to deliver the Services professionally.

(C) The Parties wish to document terms covering service scope, fees, IP ownership over curated product collections and brand assets, and the confidential handling of supplier relationships, import pricing, and customer purchasing data.

Definitions and Interpretation

The terms below govern interpretation of this Agreement unless context requires otherwise.

"Agreement" means this Independent Contractor Agreement, all Schedules, and written amendments executed by both Parties.

"Background IP" means pre-existing Intellectual Property Rights. For the Contractor, this includes existing product sourcing databases, import compliance checklists, specialty retail merchandising frameworks, or customer education curricula developed before this engagement.

"Confidential Information" means all non-public information exchanged between the Parties, including artisan producer contacts, import pricing and duty calculations, exclusive distribution agreements, product markup strategies by category, customer purchase profiles, tasting event attendance data, e-commerce conversion metrics, and supplier minimum order quantities and lead times.

"Deliverables" means product sourcing reports, merchandising plans, training materials, e-commerce strategies, marketing content, or other outputs required under the Schedules.

"Foreground IP" means Intellectual Property Rights created during the Services, such as curated product collection frameworks, store layout concepts, or brand storytelling strategies developed for the Client.

"Intellectual Property Rights" means patents, trademarks, copyright, design rights, database rights, trade secrets, and equivalent rights in any jurisdiction.

"Services" means the professional work outlined in the Schedule, covering product sourcing, merchandising design, import compliance, customer education, e-commerce development, or specialty food marketing. Singular includes plural. Statutory references include amendments.

Status of Parties

The Contractor operates as an independent contractor, not an employee or agent. All tax, insurance, and statutory obligations arising from specialty food retail consulting are the Contractor's sole responsibility.

Services and Deliverables

The Contractor shall perform services as described in the Schedule, potentially including product curation, import logistics advisory, store merchandising, customer education programming, or e-commerce channel development. Deliverables require the Client's written acceptance.

Term and Termination

This Agreement commences on the Effective Date and continues for the agreed duration. On termination, the Contractor shall return all Client materials including supplier contacts, import documentation, and customer data, and deliver any outstanding work.
