Parties and Recitals

This Independent Contractor Agreement (the "Agreement") formalizes the terms between the SaaS company identified below (the "Client") and the contractor providing professional services (the "Contractor").

The Client operates a software-as-a-service business delivering cloud-hosted applications to subscribers on a recurring revenue model. SaaS operations involve software development, infrastructure management, product design, data security and compliance, subscription billing, and growth marketing combining product-led and sales-led strategies. The pace of SaaS development and breadth of required expertise make contractor engagements a standard operational practice.

The Contractor has been engaged for their technical, design, marketing, or operational expertise relevant to the Client's SaaS product.

(A) The Client requires contractor support for software engineering, product design, DevOps, data analytics, security consulting, go-to-market strategy, or growth marketing execution.

(B) The Contractor holds the technical or strategic expertise to deliver the Services to commercial SaaS quality standards.

(C) The Parties document the engagement, covering deliverables, compensation, IP ownership over code, designs, and documentation, and the strict protection of proprietary source code, customer data, and business metrics.

Definitions and Interpretation

The following definitions govern this Agreement.

"Agreement" means this Independent Contractor Agreement, all Schedules, and written amendments signed by both Parties.

"Background IP" means pre-existing Intellectual Property Rights. For the Contractor, this includes existing open-source contributions, reusable code libraries, design systems, or consulting frameworks developed before the engagement.

"Confidential Information" means all non-public information, including proprietary source code and architecture documentation, customer databases, MRR and churn metrics, product roadmaps, security audit findings, infrastructure configurations, API keys, and investor communications.

"Deliverables" means code, designs, documentation, analytics reports, marketing assets, or other outputs required under the Schedules.

"Foreground IP" means Intellectual Property Rights created during the Services, including software code, UI/UX designs, technical documentation, or marketing frameworks developed for the Client's SaaS product.

"Intellectual Property Rights" means patents, trademarks, copyright, design rights, database rights, trade secrets, and equivalent rights in any jurisdiction.

"Services" means work in the Schedule, covering engineering, design, DevOps, analytics, security, product management, or SaaS marketing. Singular includes plural. Statutory references include amendments.

Status of Parties

The Contractor is an independent contractor. No employment, agency, or partnership exists. Tax, insurance, and all statutory obligations are the Contractor's sole responsibility.

Services and Deliverables

Services are in the Schedule and may include feature development, UI/UX design, infrastructure management, data analytics, security consulting, or growth marketing. Deliverables require Client written acceptance.

Term and Termination

This Agreement begins on the Effective Date and continues for the agreed term. On termination, the Contractor must return all source code, access credentials, customer data, and proprietary documentation.
