Parties and Recitals
This Independent Contractor Agreement (the "Agreement") is made between the lawn care business named below (the "Client") and the contractor engaged for professional services (the "Contractor").
The Client provides lawn care services including mowing, edging, fertilization, weed control, aeration, overseeding, and seasonal treatments for residential and commercial properties. Lawn care operations are route-intensive, seasonal in nature, and require knowledge of turfgrass species, soil chemistry, herbicide and fertilizer application rates, equipment maintenance schedules, and local environmental regulations governing chemical application near waterways.
The Contractor has relevant expertise and agrees to perform the Services set out in this Agreement.
(A) The Client requires contractor support for turf science consulting, technician training on chemical application, equipment fleet management, route density optimization, commercial grounds maintenance contract strategy, or seasonal marketing to homeowner demographics.
(B) The Contractor holds the turf management knowledge or field service operations expertise to deliver the Services to professional standards.
(C) The Parties document their arrangement, addressing deliverables, compensation, IP over treatment programs and training materials, and the confidential treatment of chemical formulations, route data, and client property records.
Definitions and Interpretation
These definitions apply throughout this Agreement.
"Agreement" means this Independent Contractor Agreement, its Schedules, and written amendments executed by both Parties.
"Background IP" means pre-existing Intellectual Property Rights. For the Contractor, this may include existing turf treatment programs, soil testing frameworks, route optimization tools, or seasonal service calendars developed independently.
"Confidential Information" means all non-public information, including fertilizer and herbicide formulations, application rate calculations, turf treatment schedules, supplier pricing, per-property revenue data, route efficiency metrics, commercial contract pricing, equipment maintenance costs, and client property specifications.
"Deliverables" means treatment programs, training materials, route plans, equipment assessments, marketing strategies, or other outputs required under the Schedules.
"Foreground IP" means Intellectual Property Rights created during the Services, such as custom lawn treatment programs, technician certification curricula, or seasonal marketing campaigns developed for the Client.
"Intellectual Property Rights" means patents, trademarks, copyright, design rights, database rights, trade secrets, and equivalent rights in any jurisdiction.
"Services" means the work in the Schedule, covering turf science consulting, chemical application training, equipment management, route planning, commercial sales, or lawn care marketing. Singular includes plural. Statutory references include amendments.
Status of Parties
The Contractor is an independent contractor. No employment, agency, or partnership relationship exists. Tax, insurance, and statutory obligations from lawn care consulting work are the Contractor's sole responsibility.
Services and Deliverables
Services include those in the Schedule, such as turf treatment program design, chemical application training, equipment fleet advisory, route optimization, or residential marketing strategy. Deliverables require Client written acceptance.
Term and Termination
This Agreement commences on the Effective Date and continues for the agreed term. On termination, the Contractor must return all Client property including treatment formulations, route data, and client records.
