Parties and Recitals
This Independent Contractor Agreement (the "Agreement") is made between the coffee shop business identified below (the "Client") and the independent contractor providing specialist services (the "Contractor"), together the "Parties."
The Client owns and operates a coffee shop specializing in espresso-based beverages, pour-over preparations, and accompanying food offerings. To sustain product quality, operational efficiency, and brand growth, the Client engages contractors with expertise in areas such as barista training, coffee sourcing, roast profile development, cafe interior design, equipment maintenance, point-of-sale integration, and digital marketing for specialty coffee brands.
The Contractor has demonstrated relevant qualifications and experience in the coffee industry and has agreed to deliver the services outlined in this Agreement under the terms and conditions set forth herein.
(A) The Client requires external specialist support to develop, refine, or expand specific elements of its coffee shop operations, including but not limited to product development, brand strategy, or technical equipment consulting.
(B) The Contractor holds the expertise, certifications, and professional standing necessary to deliver the described services to a standard consistent with specialty coffee industry practices.
(C) The Parties wish to establish clear terms governing service delivery, compensation, intellectual property allocation, and the protection of proprietary information including blend formulations, supplier relationships, and roasting parameters.
Definitions and Interpretation
The following definitions apply throughout this Agreement unless the context requires otherwise.
"Agreement" means this Independent Contractor Agreement together with all Schedules and written amendments signed by both Parties.
"Background IP" means Intellectual Property Rights owned by or licensed to either Party before the Effective Date. For the Contractor, this may include proprietary espresso calibration methodologies, existing training curricula, latte art instruction materials, or coffee bean grading systems developed independently.
"Confidential Information" means all non-public information exchanged between the Parties, including roast profiles, green bean sourcing contracts, grind calibration parameters, water chemistry specifications, extraction yield targets, milk steaming techniques, supplier pricing, customer analytics, and revenue data per daypart.
"Deliverables" means all outputs, reports, training materials, roast curve documentation, menu concepts, branding assets, or other work product the Contractor must produce under this Agreement.
"Foreground IP" means any Intellectual Property Rights created during the performance of the Services, such as new signature drink recipes, brewing protocols, cafe layout designs, or barista certification programs developed specifically for the Client's coffee shop.
"Intellectual Property Rights" means patents, trademarks, copyright, design rights, database rights, trade secrets, and all similar rights whether registered or unregistered in any jurisdiction.
"Services" means the work the Contractor will perform as detailed in the attached Schedule, which may encompass roast consulting, barista training, equipment sourcing, cafe workflow optimization, or brand identity development. References to legislation include amendments. Singular terms include their plural forms.
Status of Parties
The Contractor operates as an independent contractor and is not an employee, worker, agent, or partner of the Client. The Contractor bears full responsibility for taxes, social security contributions, and any statutory obligations arising from coffee shop consulting services performed under this Agreement.
Services and Deliverables
Services may include espresso machine calibration, barista skills assessment, drink menu development, supplier sourcing, or cafe workflow redesign as set out in the Schedule. Deliverables are subject to the Client's reasonable inspection and written acceptance within the agreed timeframe.
Term and Termination
The engagement begins on the Effective Date and runs for the agreed term or until terminated by either Party under the provisions of this clause. Upon termination, the Contractor shall hand over all deliverables in progress and return confidential materials including roast profiles and supplier documentation.
