Parties and Recitals

This Independent Contractor Agreement (the "Agreement") governs the relationship between the taco shop business named below (the "Client") and the contractor engaged for specialist work (the "Contractor").

The Client operates a taco shop serving tacos, burritos, quesadillas, salsas, and related Mexican or Tex-Mex cuisine items. Taco shop operations involve specific expertise in masa preparation, tortilla production, protein marination schedules, salsa flavor profiling, high-speed assembly line configurations for peak-hour service, and compliance with food safety standards for fresh produce handling. Growing the business through catering, delivery, or multi-location expansion often requires specialist contractor input.

The Contractor has been engaged on the basis of relevant experience in Mexican cuisine, quick-service restaurant operations, or a related food service discipline.

(A) The Client requires contractor support that may include salsa and sauce recipe development, tortilla production consulting, protein preparation optimization, kitchen line speed analysis, catering program design, or culturally authentic brand positioning.

(B) The Contractor possesses the culinary expertise and operational knowledge to deliver the Services to the standard required by the Client's taco shop operations.

(C) This Agreement records the complete terms of the engagement, including service scope, fees, IP ownership over new recipes and brand materials, and the confidential handling of proprietary salsa formulations, marination techniques, and vendor relationships.

Definitions and Interpretation

The terms below apply throughout this Agreement.

"Agreement" means this Independent Contractor Agreement, its Schedules, and all written amendments signed by both Parties.

"Background IP" means Intellectual Property Rights predating the Effective Date. For the Contractor, this may include existing salsa recipe databases, tortilla production methodologies, or Mexican cuisine training materials developed independently.

"Confidential Information" means all non-public information exchanged by the Parties, including proprietary salsa and hot sauce recipes, masa dough formulations, protein marination schedules and spice blends, tortilla press specifications, per-taco cost analyses, assembly line throughput data, catering event pricing, supplier contracts for dried chilis, specialty produce, and imported ingredients.

"Deliverables" means recipes, production guides, training curricula, menu designs, marketing materials, or other tangible outputs required under the Schedules.

"Foreground IP" means Intellectual Property Rights created during the Services, such as new salsa formulations, signature taco recipes, branded packaging, or catering program frameworks developed for the Client.

"Intellectual Property Rights" means patents, trademarks, copyright, design rights, database rights, trade secrets, and all equivalent rights in any jurisdiction.

"Services" means the work described in the Schedule, covering areas such as recipe development, tortilla production consulting, kitchen line engineering, catering design, or taco shop branding. Statutory references include amendments. Singular includes plural.

Status of Parties

The Contractor serves as an independent contractor. No employment, partnership, or agency relationship exists under this Agreement. Tax liabilities, social contributions, and insurance obligations arising from taco shop consulting work are entirely the Contractor's responsibility.

Services and Deliverables

The Contractor shall perform services as set out in the Schedule, which may encompass salsa recipe development, masa consulting, kitchen assembly line optimization, catering logistics, or brand positioning. Deliverables are subject to the Client's written acceptance after review.

Term and Termination

This Agreement begins on the Effective Date and continues for the agreed term. Following termination, the Contractor shall deliver all in-progress work and return Client materials including proprietary recipes, supplier information, and catering contracts.
