Motorcycle Repair Shop Contractor Agreement Generator

This Independent Contractor Agreement (the "Agreement") is made between the motorcycle repair shop named below (the "Client") and the contractor retained for specialist services (the "Contractor").

The Client operates a motorcycle repair shop providing maintenance, diagnostics, engine rebuilds, suspension tuning, electrical system work, and custom modifications for motorcycles, scooters, and powersport vehicles. Motorcycle repair demands specialized knowledge of V-twin, inline-four, and single-cylinder engine architectures, fuel injection tuning, chassis geometry, and brand-specific diagnostic protocols that differ substantially from automotive repair.

The Contractor has been engaged for their powersport expertise and agrees to deliver the Services herein.

(A) The Client requires contractor support for technician certification training, diagnostic tool integration, parts inventory management, custom fabrication consulting, warranty administration, or marketing to motorcycle enthusiast communities.

(B) The Contractor has the motorcycle-specific mechanical knowledge or shop management expertise to perform the Services professionally.

(C) The Parties document the engagement, covering deliverables, payment, IP over training curricula and diagnostic procedures, and the protection of confidential labor rates, parts markup data, and customer records.

The following terms apply throughout this Agreement.

"Agreement" means this Independent Contractor Agreement, all Schedules, and written amendments executed by both Parties.

"Background IP" means pre-existing Intellectual Property Rights. For the Contractor, this may include existing motorcycle diagnostic workflows, engine rebuild procedures, or parts sourcing databases developed before the engagement.

"Confidential Information" means all non-public information, including posted and actual labor rates, parts markup percentages, diagnostic tool configurations, custom modification specifications, warranty claims data, customer service histories, and OEM dealer program terms.

"Deliverables" means training programs, diagnostic procedures, inventory systems, marketing plans, or other outputs required under the Schedules.

"Foreground IP" means Intellectual Property Rights created during the Services, such as custom diagnostic workflows, technician training modules, or community marketing strategies developed for the Client.

"Intellectual Property Rights" means patents, trademarks, copyright, design rights, database rights, trade secrets, and equivalent rights in any jurisdiction.

"Services" means the work in the Schedule, covering technician training, diagnostic consulting, parts strategy, custom fabrication advisory, or motorcycle shop marketing. Singular includes plural. Statutory references include amendments.
