Parties and Recitals

This Independent Contractor Agreement (the "Agreement") formalizes the engagement between the tire shop business below (the "Client") and the contractor retained for specialist work (the "Contractor").

The Client operates a tire shop providing tire sales, mounting, balancing, alignment, rotation, flat repair, and seasonal changeover services. Tire retail combines product knowledge across hundreds of SKUs from multiple manufacturers, competitive pricing against online retailers and big-box stores, efficient bay throughput for service work, alignment equipment calibration, and fleet account management that demands volume pricing and scheduling coordination.

The Contractor has been engaged for their tire industry or automotive retail expertise and agrees to perform the Services herein.

(A) The Client requires contractor support for tire product selection and vendor negotiation, alignment equipment calibration, bay workflow optimization, fleet pricing strategy, online pricing competitiveness analysis, or marketing to retail and commercial customers.

(B) The Contractor has the tire industry knowledge or automotive retail expertise to deliver the Services professionally.

(C) The Parties document the engagement, addressing deliverables, payment, IP over pricing tools and fleet systems, and the confidential handling of vendor rebate structures, cost data, and fleet contract terms.

Definitions and Interpretation

These definitions govern this Agreement unless context requires otherwise.

"Agreement" means this Independent Contractor Agreement, its Schedules, and written amendments signed by both Parties.

"Background IP" means pre-existing Intellectual Property Rights. For the Contractor, this includes existing tire fitment databases, vendor comparison tools, alignment calibration procedures, or fleet pricing models developed independently.

"Confidential Information" means all non-public information, including tire vendor cost pricing and rebate structures, per-unit margins by brand and size, alignment equipment calibration data, fleet contract terms and volume commitments, bay utilization rates, seasonal changeover scheduling data, and online price-matching policies.

"Deliverables" means pricing strategies, vendor assessments, training programs, fleet proposals, marketing plans, or other outputs required under the Schedules.

"Foreground IP" means Intellectual Property Rights created during the Services, such as custom pricing algorithms, fleet management tools, or retail marketing campaigns developed for the Client.

"Intellectual Property Rights" means patents, trademarks, copyright, design rights, database rights, trade secrets, and equivalent rights in any jurisdiction.

"Services" means the work in the Schedule, covering vendor strategy, alignment consulting, bay optimization, fleet development, competitive analysis, or tire shop marketing. Singular includes plural. Statutory references include amendments.

Status of Parties

The Contractor is an independent contractor, not an employee or agent. All tax, insurance, and statutory obligations from tire shop consulting are the Contractor's sole responsibility.

Services and Deliverables

Services include those in the Schedule, such as tire vendor negotiation, alignment calibration training, fleet pricing development, bay throughput optimization, or competitive marketing. Deliverables require Client written acceptance.

Term and Termination

This Agreement commences on the Effective Date and runs for the agreed duration. On termination, the Contractor shall return all Client materials including vendor pricing, fleet contracts, and customer data.
