Tree Service Contractor Agreement Generator

This Independent Contractor Agreement (the "Agreement") governs the relationship between the tree service business named below (the "Client") and the contractor providing professional services (the "Contractor").

The Client operates a tree service business performing tree trimming, removal, stump grinding, emergency storm damage response, and arboricultural consulting for residential and commercial properties. Tree service operations involve high-risk fieldwork requiring ISA-certified arborist knowledge, chainsaw and climbing safety protocols, crane and aerial lift coordination, local permitting for protected species, and liability management for work performed near structures and power lines. Scaling operations safely while maintaining profitability depends on sound operational systems.

The Contractor has been retained for their relevant expertise in arboriculture, field service operations, or a related discipline.

(A) The Client requires contractor support for safety program development, crew training and certification, equipment fleet management, estimating and bidding systems, municipal contract strategy, or marketing to property owners and commercial facility managers.

(B) The Contractor has the arboricultural knowledge or field service business expertise to deliver the Services to industry-accepted safety and quality standards.

(C) This Agreement covers the complete engagement terms, including deliverables, compensation, IP over safety programs and estimating systems, and confidentiality for pricing models, crew cost data, and client property records.

These definitions apply throughout the Agreement.

"Agreement" means this Independent Contractor Agreement, its Schedules, and any written amendments signed by both Parties.

"Background IP" means pre-existing Intellectual Property Rights. For the Contractor, this may include existing safety training curricula, tree risk assessment frameworks, estimating spreadsheets, or crew management systems developed before this engagement.

"Confidential Information" means all non-public information, including crew wage rates, equipment lease and maintenance costs, per-job pricing models, client property surveys, tree species inventory data, municipal contract bid details, insurance coverage specifics, emergency response protocols, and subcontractor rate agreements.

"Deliverables" means safety programs, training curricula, estimating systems, marketing plans, operational manuals, or other outputs required under the Schedules.

"Foreground IP" means Intellectual Property Rights created during the Services, including custom safety programs, risk assessment tools, or estimating software configurations developed for the Client.

"Intellectual Property Rights" means patents, trademarks, copyright, design rights, database rights, trade secrets, and equivalent rights in any jurisdiction.

"Services" means the work described in the Schedule, covering safety consulting, crew training, equipment strategy, estimating systems, municipal bidding, or tree service marketing. Singular includes plural. Statutory references include amendments.
