Parties and Recitals

This Independent Contractor Agreement (the "Agreement") is made between the commercial laundry business named below (the "Client") and the contractor retained for professional services (the "Contractor").

The Client operates a laundry business providing wash-dry-fold, commercial linen services, dry cleaning, or specialized textile care to residential customers, hospitality businesses, healthcare facilities, or industrial operations. Commercial laundry involves high-volume equipment management, water reclamation systems, chemical dosing protocols, garment tracking and sorting, delivery logistics, and compliance with textile care standards specific to healthcare or food service clients.

The Contractor has been selected for their operational expertise and agrees to deliver the Services under this Agreement.

(A) The Client requires contractor support for production line optimization, chemical dosing system calibration, quality control for textile care, fleet management for pickup and delivery, commercial account acquisition, or marketing to hospitality and healthcare sectors.

(B) The Contractor possesses relevant experience in commercial laundry operations, textile science, or logistics management.

(C) The Parties document this arrangement, addressing deliverables, fees, IP over production systems and quality protocols, and confidentiality for chemical formulations, commercial contract pricing, and client volume data.

Definitions and Interpretation

The following terms apply throughout this Agreement.

"Agreement" means this Independent Contractor Agreement, its Schedules, and any written amendments signed by both Parties.

"Background IP" means pre-existing Intellectual Property Rights. For the Contractor, this may include existing laundry production workflow models, chemical dosing calculators, garment tracking systems, or quality audit frameworks developed before the engagement.

"Confidential Information" means all non-public information, including chemical supplier contracts, dosing ratios, production throughput data, per-pound processing costs, commercial contract terms, client volume forecasts, delivery route logistics, equipment maintenance records, and healthcare or hospitality compliance documentation.

"Deliverables" means production optimizations, quality systems, chemical protocols, delivery route plans, marketing strategies, or other outputs required under the Schedules.

"Foreground IP" means Intellectual Property Rights created during the Services, including custom production workflows, quality scoring systems, or commercial sales processes developed for the Client.

"Intellectual Property Rights" means patents, trademarks, copyright, design rights, database rights, trade secrets, and equivalent rights in any jurisdiction.

"Services" means the work in the Schedule, covering production consulting, chemical management, quality assurance, delivery logistics, commercial sales, or laundry business marketing. Singular includes plural. Statutory references include amendments.

Status of Parties

The Contractor is an independent contractor. No employment, partnership, or agency relationship exists. All tax, insurance, and statutory obligations from laundry business consulting rest with the Contractor.

Services and Deliverables

The Contractor shall perform services as described in the Schedule, which may include production workflow design, chemical dosing consulting, quality control systems, delivery fleet optimization, or B2B marketing to hospitality and healthcare. Deliverables require Client written acceptance.

Term and Termination

This Agreement begins on the Effective Date and continues for the specified term. On termination, the Contractor must return Client materials including production data, chemical records, and commercial account information.
