Parties and Recitals
This Independent Contractor Agreement (the "Agreement") formalizes the terms between the landscaping company named below (the "Client") and the contractor retained for specialist work (the "Contractor").
The Client operates a landscaping company providing design, installation, and maintenance services encompassing hardscaping, planting, irrigation systems, outdoor lighting, drainage solutions, and seasonal landscape management. Landscaping projects blend horticultural science with construction skills, requiring knowledge of plant material selection for local climates, grading and drainage engineering, hardscape material sourcing, crew coordination across concurrent job sites, and project estimation that accurately accounts for labor, materials, and equipment.
The Contractor brings specialist qualifications and agrees to perform the Services under the terms of this Agreement.
(A) The Client requires contractor support for landscape design consulting, irrigation engineering, hardscape material sourcing, project estimation systems, crew training, commercial property grounds contract strategy, or marketing to residential homeowners and commercial property developers.
(B) The Contractor holds relevant expertise in landscape architecture, horticulture, or construction project management to deliver the Services professionally.
(C) The Parties formalize the engagement covering deliverables, payment, IP over design concepts and estimation tools, and the confidential handling of project bids, material supplier pricing, and crew cost structures.
Definitions and Interpretation
The following terms govern this Agreement.
"Agreement" means this Independent Contractor Agreement, all Schedules, and any written amendments signed by both Parties.
"Background IP" means pre-existing Intellectual Property Rights. For the Contractor, this includes existing landscape design portfolios, plant material databases for climate zones, irrigation system specifications, or project estimation models developed independently.
"Confidential Information" means all non-public information, including landscape design concepts, hardscape and softscape material supplier pricing, irrigation system specifications, project bid calculations, crew labor rates, per-project profit margins, commercial grounds contract terms, subcontractor rate agreements, and client property plans.
"Deliverables" means landscape designs, irrigation plans, project estimates, training programs, marketing strategies, or other outputs required under the Schedules.
"Foreground IP" means Intellectual Property Rights created during the Services, such as custom landscape designs, estimation software configurations, or branded proposal templates developed for the Client.
"Intellectual Property Rights" means patents, trademarks, copyright, design rights, database rights, trade secrets, and equivalent rights in any jurisdiction.
"Services" means the work in the Schedule, covering landscape design, irrigation consulting, project estimation, crew training, commercial contract strategy, or landscaping brand marketing. Singular includes plural. Statutory references include amendments.
Status of Parties
The Contractor acts as an independent contractor. No employment, partnership, or agency relationship exists under this Agreement. All tax, insurance, and statutory obligations from landscaping consulting are the Contractor's responsibility.
Services and Deliverables
The Contractor shall perform services in the Schedule, potentially covering landscape design, irrigation system engineering, hardscape sourcing advisory, project estimation development, or commercial property marketing. Deliverables require Client written acceptance.
Term and Termination
This Agreement begins on the Effective Date and runs for the agreed period. On termination, the Contractor shall return all Client property including design plans, project estimates, and supplier documentation.
