Parties and Recitals

This Independent Contractor Agreement (the "Agreement") establishes the terms between the bookshop business identified below (the "Client") and the independent contractor providing specialist services (the "Contractor").

The Client operates an independent bookshop selling new, used, or antiquarian books alongside related merchandise such as stationery, greeting cards, and literary gifts. Independent bookshops compete by curating distinctive inventory, hosting author events, building community reading programs, and cultivating a browsing experience that online retailers cannot replicate. These competitive advantages often benefit from external expertise in inventory management, event programming, digital marketing, or e-commerce integration.

The Contractor agrees to perform the specified services based on their relevant expertise in bookselling, retail consulting, or a related discipline.

(A) The Client requires contractor support for inventory curation systems, author event programming, community reading group development, e-commerce and online ordering integration, store layout optimization, or literary brand marketing.

(B) The Contractor possesses the professional background in bookselling, retail operations, or cultural programming to deliver the Services competently.

(C) The Parties formalize this engagement to address service scope, compensation, IP rights over curated reading programs and event formats, and confidentiality concerning supplier discount structures, sales analytics, and customer purchase histories.

Definitions and Interpretation

The following definitions apply throughout this Agreement unless context requires otherwise.

"Agreement" means this Independent Contractor Agreement, all Schedules, and any written amendments executed by both Parties.

"Background IP" means pre-existing Intellectual Property Rights. For the Contractor, this includes existing inventory curation algorithms, event programming templates, or bookshop marketing frameworks developed before the engagement.

"Confidential Information" means all non-public information shared between the Parties, including publisher and distributor discount structures, wholesale pricing tiers, inventory turnover rates by genre, bestseller prediction models, customer purchase histories, author event attendance and revenue data, e-commerce conversion metrics, and loyalty program participation rates.

"Deliverables" means inventory strategies, event programs, marketing plans, e-commerce integration specifications, training materials, or other outputs required under the Schedules.

"Foreground IP" means Intellectual Property Rights arising from the Services, such as curated reading list programs, author event formats, or branded content series developed for the Client's bookshop.

"Intellectual Property Rights" means patents, trademarks, copyright, design rights, database rights, trade secrets, and equivalent rights in any jurisdiction.

"Services" means the work in the Schedule, which may cover inventory curation, event programming, e-commerce integration, store layout consulting, or literary brand marketing. Singular includes plural. Statutory references include amendments.

Status of Parties

The Contractor is an independent contractor. No employment, agency, or partnership relationship exists under this Agreement. All tax, insurance, and statutory obligations from bookshop consulting services rest with the Contractor.

Services and Deliverables

Services are described in the Schedule and may include genre curation advisory, author event design, reading group program development, e-commerce platform integration, or community-focused marketing. Deliverables require the Client's written acceptance.

Term and Termination

This Agreement begins on the Effective Date and continues for the agreed duration. On termination, the Contractor shall return Client property including publisher contacts, sales analytics, and customer records, and deliver outstanding work.
