Parties & Purpose

Nonprofit organizations hold sensitive information concerning vulnerable beneficiary populations, donor relationships, and institutional strategy. Unauthorized disclosure could compromise fundraising efforts and violate beneficiary privacy.
Definitions
"Confidential Information" includes, without limitation.
- Donor Information: donor identities, giving histories, major gift cultivation strategies, and grant application narratives.
- Beneficiary Data: beneficiary identities, case records, needs assessments, and impact measurement results.
- Financial and Governance: annual budgets, financial statements, endowment holdings, board minutes, and strategic plans.
- Operational Data: volunteer databases, staff contacts, CRM configurations, and proprietary program methodologies.
Exclusions include information in publicly filed tax returns or annual reports. Standard exclusions also apply for previously known, independently developed, and third-party sourced information.
Obligations of Confidentiality
The Receiving Party shall use Confidential Information solely for the Purpose. Donor records and beneficiary data shall be stored securely with access limited to authorized personnel. The Receiving Party shall not solicit donors or contact beneficiaries directly.
Permitted Disclosures and Third Parties
Disclosure is limited to Representatives bound by written confidentiality obligations. Sharing beneficiary data with partner organizations requires prior written consent and compliance with applicable data protection legislation.
Term, Termination, and Survival
This Agreement is effective for two years. Obligations concerning beneficiary PII survive indefinitely. Donor records and strategic plans survive for five years following termination.
