Parties and Recitals
This Independent Contractor Agreement (the "Agreement") is entered into between the pest control business identified below (the "Client") and the contractor providing specialist services (the "Contractor").
The Client operates a pest control company providing inspection, treatment, prevention, and monitoring services for residential and commercial properties dealing with insects, rodents, wildlife, and other pest infestations. Pest control demands technical knowledge of pesticide application regulations, integrated pest management (IPM) methodologies, species identification, treatment chemical safety data sheets, licensing requirements, and recurring service contract management. Effectively scaling a pest control route while maintaining regulatory compliance is a complex operational challenge.
The Contractor has been engaged for their expertise in pest management, field service operations, or a related area and agrees to deliver the Services herein.
(A) The Client requires contractor support for IPM program design, technician licensing and training, chemical procurement strategy, route and scheduling optimization, commercial account acquisition, or digital marketing targeting property owners and facility managers.
(B) The Contractor holds relevant qualifications in pest management, entomology, or field service business consulting to perform the Services professionally.
(C) This Agreement documents the full terms, covering deliverables, payment, IP over treatment protocols and training materials, and the confidential handling of chemical formulations, pricing, and client property access information.
Definitions and Interpretation
The following definitions apply to this Agreement.
"Agreement" means this Independent Contractor Agreement, all Schedules, and written amendments executed by both Parties.
"Background IP" means pre-existing Intellectual Property Rights. For the Contractor, this includes existing IPM decision frameworks, species identification guides, chemical application protocols, or route scheduling tools developed independently.
"Confidential Information" means all non-public information, including pesticide formulation details and supplier pricing, treatment protocol documentation, client property access codes and inspection reports, technician performance metrics, route profitability data per service territory, recurring contract terms, commercial bid documentation, and safety incident records.
"Deliverables" means IPM programs, training curricula, treatment protocols, marketing strategies, operational manuals, or other outputs required under the Schedules.
"Foreground IP" means Intellectual Property Rights created during the Services, such as custom treatment decision trees, technician training programs, or commercial sales frameworks developed for the Client.
"Intellectual Property Rights" means patents, trademarks, copyright, design rights, database rights, trade secrets, and equivalent rights in any jurisdiction.
"Services" means the work in the Schedule, covering IPM consulting, technician training, chemical sourcing, route optimization, commercial sales strategy, or pest control marketing. Singular includes plural. Statutory references include amendments.
Status of Parties
The Contractor is an independent contractor, not an employee or agent. All tax, insurance, and regulatory obligations arising from pest control consulting services are the Contractor's sole responsibility.
Services and Deliverables
Services are specified in the Schedule and may include IPM program development, technician certification training, chemical procurement advisory, route scheduling optimization, or commercial account marketing. Deliverables require Client written acceptance.
Term and Termination
This Agreement commences on the Effective Date and runs for the agreed term. On termination, the Contractor shall return all Client materials including treatment records, client property data, and operational documentation.
