Parties & Purpose

The Parties recognize that in the specialty coffee roasting industry, proprietary roast profiles, origin sourcing relationships, and blend formulations represent the foundation of brand identity and product differentiation, and that unauthorized disclosure could cause irreparable commercial harm.

Definitions

"Confidential Information" includes, without limitation.

  1. Roast profile data including time-temperature curves, rate-of-rise measurements, first crack and development time ratios, charge temperatures, drum speed settings, and airflow configurations specific to each coffee origin and blend.
  2. Green bean sourcing information including direct-trade and relationship coffee arrangements, import broker agreements, FOB and CIF pricing, contract volumes, shipping logistics, and cupping scores for pre-purchase evaluation.
  3. Blend formulations including the precise origin composition of each blend by percentage, seasonal substitution protocols, and roast level adjustments for each component within a blend.
  4. Quality control systems including cupping calibration procedures, defect grading standards, roast consistency benchmarking methods, moisture content and water activity monitoring protocols, and freshness dating methodologies.
  5. Financial data including cost-per-pound green and roasted calculations, wholesale pricing tiers, private-label roasting fee structures, subscription program economics, and import duty and logistics cost analyses.
  6. Wholesale and distribution information including cafe and retail account lists, territory agreements, private-label client identities, e-commerce platform configurations, and subscription fulfillment logistics.

Standard exclusions apply for publicly available, previously known, independently developed, and third-party sourced information.

Obligations of Confidentiality

The Receiving Party shall safeguard all proprietary roastery information including roast profiles, blend formulations, green bean sourcing contracts, and private-label client arrangements with no less than the same degree of care used to protect its own most valuable trade secrets.

Permitted Disclosures and Third Parties

Disclosure is permitted to roasting staff, quality control personnel, and professional advisors who require access for the Purpose, provided each is bound by written confidentiality obligations at least as restrictive as this Agreement.

Term, Termination, and Survival

This Agreement remains effective throughout the business relationship and for two years following termination. Obligations relating to proprietary roast profiles, blend compositions, and private-label client identities shall survive indefinitely.
