Parties & Purpose

This Non-Disclosure Agreement (the "Agreement") is entered into by and between the Disclosing Party and the Receiving Party. The purpose of this Agreement is to protect proprietary and confidential information exchanged in connection with catering operations, including but not limited to large-scale food production systems, event logistics planning, client relationship management, menu customization frameworks, vendor procurement strategies, and staffing deployment models (the "Purpose").

Such disclosures may encompass banquet production workflows, temperature-controlled transport procedures, event timeline coordination systems, venue-specific setup protocols, dietary accommodation management processes, and client entertainment preference databases.

This Agreement applies to all Confidential Information disclosed by either Party. The Parties recognize that in the catering industry, proprietary knowledge regarding client relationships, event execution methodologies, and large-scale production efficiencies represents a core business asset, and that unauthorized disclosure could cause substantial and irreparable commercial damage to the Disclosing Party.

Definitions

"Confidential Information" means any and all non-public information disclosed by the Disclosing Party in connection with the Purpose. This includes, without limitation.

  1. Production systems including large-scale recipe formulations scaled for events of varying sizes, batch cooking schedules, cold chain management protocols, food safety compliance procedures for off-site service, and kitchen production timelines aligned to event delivery windows.
  2. Client information including corporate account lists, wedding planner referral networks, event venue preferred vendor relationships, client dietary preference databases, and historical event records including menu selections and pricing.
  3. Financial data including per-head cost calculations, tiered pricing structures for different event sizes and service levels, profit margin analyses by event type, vendor credit arrangements, and seasonal pricing adjustment methodologies.
  4. Logistics and operations including transport fleet management systems, hot and cold holding equipment deployment strategies, on-site kitchen setup procedures for venues without permanent kitchen facilities, and staffing ratio calculations for plated, buffet, and family-style service.
  5. Vendor and supplier networks including negotiated wholesale pricing, rental company agreements for tableware and linens, and floral and decor vendor partnerships.
  6. Marketing and business development strategies including proposal templates, tasting event formats, client onboarding procedures, and competitive positioning frameworks.

Exclusions apply where information: (a) is publicly available; (b) was previously known to the Receiving Party; (c) is independently developed; or (d) is received from an unrestricted third party.

Obligations of Confidentiality

The Receiving Party shall maintain strict confidentiality over all proprietary catering information including client lists, event execution procedures, large-scale production systems, and vendor pricing arrangements, applying no less than the same standard of care used to protect its own most valuable commercial information.

Permitted Disclosures and Third Parties

Disclosure is permitted to employees, event staff, subcontractors, and professional advisors who require access for the Purpose, provided each individual is bound by written confidentiality obligations at least as restrictive as this Agreement.

Term, Termination, and Survival

This Agreement shall remain effective throughout the business relationship and for two years following its conclusion. Obligations relating to client lists, proprietary production methodologies, and vendor pricing arrangements shall survive indefinitely.
