Bed and Breakfast Shareholder Agreement Generator

Willowbrook House B&B ("the Company") is a limited company operating a bed and breakfast accommodation business. "Property" means the building, grounds, guest rooms, communal dining room, kitchen, gardens, and parking areas from which Willowbrook House B&B receives guests. "Furnishings" means all bedroom furniture, linens, kitchen equipment, dining ware, and decorative items installed at the Property. "Planning Permissions" means all licences, consents, and regulatory approvals required for the operation of guest accommodation at the Property, including change-of-use permissions and fire safety certificates.

"Shares" means all ordinary shares. "Booking Channels" means the online travel agencies, direct booking website, and walk-in reservations through which Willowbrook House B&B generates room bookings. "Occupancy Rate" means the percentage of available room nights sold over a given period. Fair Market Value reflects Property freehold or leasehold value, Furnishings and guest experience quality, Planning Permission status, average Occupancy Rate, revenue per available room, Booking Channel commission costs, and the review ratings on travel platforms.

Willowbrook House B&B has 200 ordinary shares. The owner-operator holds 60%, having acquired and renovated the Property, obtained Planning Permissions, and built the guest experience that earns high review ratings. A hospitality investor holds 40%, contributing the renovation capital, Furnishings budget, and marketing spend to establish online visibility.

The Property is the dominant asset. The shareholders agree that the Property's condition, location, and Planning Permission status are the primary determinants of value. Share valuation shall include an independent property appraisal alongside an income-based assessment using average Occupancy Rate and revenue per room. Pre-emption rights apply, and any transfer must address Planning Permission continuity.
