Parties & Purpose

Definitions
"Confidential Information" means all non-public information disclosed in connection with the Purpose. This includes, without limitation.
- Room rate structures, seasonal pricing algorithms, and guest databases including contact details and stay preferences.
- OTA contract terms including commission percentages and parity clauses.
- Proprietary breakfast and meal recipes, food supplier arrangements, and property improvement plans.
- Marketing analytics including website conversion rates and social media engagement metrics.
- Guest review response strategies, local partnership agreements with tour operators, and staff training materials.
- Financial records including profit and loss statements, occupancy rate trends, and expansion plans.
Standard exclusions apply for publicly available, previously known, independently developed, and third-party sourced information.
Obligations of Confidentiality
The Receiving Party shall hold all Confidential Information in strict confidence, applying reasonable care, and shall not disclose OTA commission terms, proprietary recipes, or guest databases to any person except as expressly authorized.
Permitted Disclosures and Third Parties
Disclosure is permitted to Representatives with a legitimate need to know, including property managers, hospitality consultants, and booking platform administrators, provided each is bound by written confidentiality obligations.
Term, Termination, and Survival
This Agreement shall remain effective for two years from execution. Obligations relating to guest databases, proprietary recipes, and OTA contract terms shall survive termination for an additional two-year period.
