Parties & Purpose
This Non-Disclosure Agreement is entered into by and between the parties identified hereto. The Disclosing Party owns or operates an auto body and collision repair business, providing services including structural repair, paint refinishing, frame straightening, and cosmetic restoration.
The purpose of this Agreement is to protect Confidential Information disclosed in connection with potential or ongoing business activities, including collision repair estimation methodologies, paint mixing formulations and color-matching techniques, insurance direct repair program (DRP) agreements, OEM certification requirements, frame measurement specifications, customer claim records, and shop equipment configurations (the "Purpose").
The Parties acknowledge that the collision repair industry relies on specialized technical knowledge, established insurance relationships, and proprietary repair processes. Disclosure of such information could undermine market position and damage insurer relationships.
Definitions
"Confidential Information" means all non-public information disclosed in connection with the Purpose. This includes, without limitation.
- Proprietary paint formulation databases and tinting recipes, collision estimating software configurations and supplement negotiation strategies.
- Insurance DRP contract terms including cycle time targets and customer satisfaction metrics.
- OEM-certified repair procedures and structural welding specifications.
- Customer records including claim histories and vehicle identification details.
- Vendor contracts for parts procurement including aftermarket and recycled component sourcing.
- Refinish booth calibration settings and environmental compliance documentation.
Standard exclusions apply for publicly available, previously known, independently developed, and third-party sourced information.
Obligations of Confidentiality
The Receiving Party shall safeguard all Confidential Information with at least the same degree of care applied to its own proprietary data, including paint formulations, DRP contract terms, and OEM repair procedures.
Permitted Disclosures and Third Parties
Disclosure is permitted to Representatives, including insurance adjusters, parts suppliers, and OEM certification bodies, only where necessary for the Purpose, provided each recipient has executed written confidentiality obligations.
Term, Termination, and Survival
This Agreement shall remain in effect for two years from execution. Obligations regarding proprietary repair procedures, insurance program terms, and paint formulation data shall survive termination for three additional years.
