Thrift Store NDA Generator

This Non-Disclosure Agreement is entered into by and between the parties identified hereto. The Disclosing Party operates a thrift store engaged in the acquisition, sorting, pricing, and resale of secondhand clothing, household goods, furniture, electronics, and other pre-owned merchandise.

The purpose of this Agreement is to protect proprietary and confidential information exchanged during discussions relating to the Disclosing Party's thrift store operations. Such discussions may concern donation sourcing networks, sorting and quality grading methodologies, pricing algorithms, relationships with charitable organizations and estate liquidation services, proprietary e-commerce strategies, per-pound and bulk purchasing arrangements, and plans for expansion.

The Receiving Party acknowledges that the thrift and resale industry depends upon efficient sourcing pipelines, proprietary valuation expertise, and community relationships. Unauthorized disclosure of sourcing arrangements, pricing methodologies, or operational systems could materially disadvantage the Disclosing Party in an increasingly competitive resale market.

"Confidential Information" means all non-public information relating to the thrift store business. This includes, without limitation.

1. Donation sourcing agreements, collection route logistics, estate sale contacts, charitable organization partnerships, and bulk purchasing arrangements.
2. Proprietary sorting methodologies, quality grading criteria, brand authentication processes, and condition assessment standards for clothing, electronics, furniture, and collectibles.
3. Pricing algorithms, markdown schedules, per-item and per-pound pricing strategies, and seasonal adjustment models.
4. Customer databases, purchase history records, loyalty program data, and demographic analyses by store location.
5. E-commerce platform architectures, online marketplace seller strategies, product photography workflows, and listing optimization techniques.
6. Business plans, expansion strategies, franchise models, financial projections, and competitive positioning analyses.

Standard exclusions apply for publicly available, previously known, independently developed, and third-party sourced information.
