This Non-Disclosure Agreement is entered into by and between the parties identified hereto. The Disclosing Party is a professional dog breeding business engaged in selective breeding, raising, health testing, registration, and sale of purebred or designer breed dogs in accordance with applicable animal welfare standards and breed registry requirements.

The purpose of this Agreement is to protect Confidential Information disclosed in connection with evaluation of a potential breeding partnership, stud service arrangement, co-ownership agreement, kennel acquisition, or investment. Review of breeding records including pedigree documentation, genetic health testing results, and breed improvement strategies. Analysis of business data including litter production schedules, puppy pricing, and waitlist lengths.

Professional dog breeding involves proprietary genetic knowledge, carefully curated bloodlines, and longstanding relationships with breed registries and discerning buyers.

"Confidential Information" includes, without limitation.

1. Breeding Data: pedigree records, genetic health screening results, DNA test profiles, coefficient of inbreeding calculations, and proprietary breeding program algorithms.
2. Health Records: veterinary examination results, hip and elbow scores, cardiac clearances, vaccination records, and whelping records.
3. Commercial Data: buyer databases, waitlist information, puppy pricing structures, health guarantee provisions, and stud service fee schedules.
4. Operational Information: kennel facility layouts, sanitation protocols, socialization curricula, and regulatory compliance documentation.

Exclusions include information published in breed registry databases. Standard exclusions also apply for previously known, independently developed, and third-party sourced information.
