Parties & Purpose

Definitions
"Confidential Information" means all non-public information disclosed in connection with the Purpose. This includes, without limitation.

- Customer vehicle records including service histories and maintenance schedules.
- Parts procurement contracts and volume discount arrangements.

- Insurance claim processing procedures and preferred vendor arrangements.
Standard exclusions apply for publicly available, previously known, independently developed, and third-party sourced information.
Obligations of Confidentiality
The Receiving Party shall maintain all Confidential Information in strict confidence, applying no less than reasonable care, and shall restrict access to authorized personnel who require such information for diagnostic procedures, repair operations, or business evaluation purposes.
Permitted Disclosures and Third Parties
The Receiving Party may disclose Confidential Information to its Representatives, including parts suppliers, equipment vendors, and warranty administrators, provided each recipient is bound by written confidentiality obligations substantially similar to this Agreement.
Term, Termination, and Survival
This Agreement shall remain in effect for two years from execution. Confidentiality obligations concerning proprietary repair methodologies, customer databases, and pricing structures shall survive termination for an additional two-year period.
