Parties & Purpose

The Parties recognize that in the wine hospitality industry, proprietary sourcing relationships, curated inventory strategies, and specialized staff knowledge represent substantial competitive advantages, and that unauthorized disclosure could result in significant commercial and reputational harm to the Disclosing Party.

Definitions

"Confidential Information" includes, without limitation.

  1. Wine sourcing data including direct-import agreements with vineyards and estates, negociant and distributor relationships, allocation lists for limited-production wines, futures purchasing arrangements, and negotiated wholesale pricing.
  2. Cellar management information including inventory databases with acquisition costs, optimal storage conditions for specific varietals, aging and drinking window assessments, cellar rotation strategies, and insurance valuations.
  3. Wine list and by-the-glass program details including markup structures, cost-per-pour calculations, wine preservation system configurations, and glass pour size standardization for profitability optimization.
  4. Financial data including revenue-per-seat analytics, wine cost percentages, food pairing menu contribution margins, event and tasting revenue models, and membership or wine club subscription economics.
  5. Staff training materials including sommelier education curricula, wine service protocols, tasting note frameworks, customer preference tracking systems, and sales technique training for premium wine recommendations.
  6. Venue and experience design including interior atmosphere specifications, glassware selection rationale, temperature and lighting calibration, and event programming strategies for wine dinners and tastings.

Standard exclusions apply for publicly available, previously known, independently developed, and third-party sourced information.

Obligations of Confidentiality

The Receiving Party shall maintain strict confidentiality over all proprietary wine bar information including sourcing relationships, allocation arrangements, cellar inventory data, and by-the-glass program economics, exercising the highest degree of care to prevent unauthorized disclosure.

Permitted Disclosures and Third Parties

Confidential Information may be disclosed to sommeliers, bar staff, and professional advisors with a demonstrated need to know for the Purpose, provided each is bound by written confidentiality undertakings.

Term, Termination, and Survival

This Agreement remains in effect throughout the business relationship and for two years following termination. Obligations concerning proprietary vineyard allocation arrangements, cellar inventory valuations, and direct-import sourcing agreements shall survive indefinitely.
