Definitions
"Confidential Information" means all non-public information disclosed in connection with the Purpose. This includes, without limitation.
- Shipper contract rates, accessorial charge schedules, and lane-specific pricing models.
- Fleet composition data, vehicle maintenance records, and route optimization algorithms.
- Driver pay structures including per-mile rates and bonus programs.
- Freight broker agreements and commission rate schedules.
- Customer shipping volumes, freight classification profiles, and ELD compliance analytics.
- Safety program documentation, CSA score improvement strategies, and insurance coverage terms.
Standard exclusions apply for publicly available, previously known, independently developed, and third-party sourced information.
Obligations of Confidentiality
The Receiving Party shall safeguard all Confidential Information with at least reasonable care and shall not disclose shipper contract rates, route optimization data, or driver compensation structures to any person except as expressly authorized.
Permitted Disclosures and Third Parties
Disclosure may be made to Representatives, including dispatchers, freight brokers, and fleet maintenance providers, who require access for the Purpose, provided each is bound by written confidentiality obligations.
Term, Termination, and Survival
This Agreement shall remain in effect for two years from execution. Obligations concerning shipper contract rates, route optimization algorithms, and customer shipping data shall survive termination for an additional three-year period.
