Parties & Purpose
This Non-Disclosure Agreement is entered into by and between the parties identified hereto. The Disclosing Party owns or operates a towing and vehicle recovery business, providing roadside assistance, accident recovery, impound operations, and long-distance vehicle transport.
The purpose of this Agreement is to protect Confidential Information disclosed in connection with potential or ongoing business relationships, including motor club and auto association contract terms, law enforcement rotation list arrangements, fleet vehicle specifications, dispatch software algorithms, customer account databases, insurance company referral agreements, storage lot capacity data, and rate schedules (the "Purpose").
The Parties acknowledge that the towing industry depends on established relationships with law enforcement agencies, motor clubs, and insurance providers, and that the terms of such arrangements are commercially sensitive.
Definitions
"Confidential Information" means all non-public information disclosed in connection with the Purpose. This includes, without limitation.
- Motor club contract terms including per-call reimbursement rates and service area boundaries.
- Law enforcement agency agreements including rotation schedules and impound fee structures.
- Dispatch system configurations, call routing algorithms, and GPS fleet tracking data.
- Customer databases including roadside assistance subscriber information.
- Insurance company preferred provider terms and claims referral volumes.
- Rate cards for light-duty, medium-duty, and heavy-duty towing services, and vehicle storage facility specifications.
Standard exclusions apply for publicly available, previously known, independently developed, and third-party sourced information.
Obligations of Confidentiality
The Receiving Party shall protect all Confidential Information with at least the same degree of care it applies to its own proprietary data and shall not disclose motor club contract rates, dispatch algorithms, or law enforcement rotation arrangements to any unauthorized person.
Permitted Disclosures and Third Parties
Disclosure is permitted to Representatives, including dispatchers, fleet managers, and insurance liaisons, who require access for the Purpose, provided each has executed confidentiality obligations at least as protective as this Agreement.
Term, Termination, and Survival
This Agreement shall remain in effect for two years from execution. Obligations concerning motor club contract terms, law enforcement impound arrangements, and dispatch system configurations shall survive termination for an additional three years.
