Parties & Purpose
This Non-Disclosure Agreement is entered into by and between the parties identified hereto. The Disclosing Party owns or operates a tire sales and service business, providing tire retail, installation, balancing, alignment, rotation, and related wheel services.
The purpose of this Agreement is to protect Confidential Information disclosed in connection with potential or ongoing business activities, including tire manufacturer and distributor pricing agreements, inventory management systems, wheel alignment specifications, fleet service contracts, customer databases, marketing strategies, and franchise or dealer program terms (the "Purpose").
The Parties recognize that the tire retail industry is intensely price-competitive, and that wholesale pricing agreements, volume rebate tiers, and fleet contract terms are among the most commercially sensitive information in the business.
Definitions
"Confidential Information" means all non-public information disclosed in connection with the Purpose. This includes, without limitation.
- Tire manufacturer and wholesale distributor pricing schedules, volume discount tiers, and rebate program terms.
- Inventory management algorithms and seasonal demand forecasting models.
- Wheel alignment machine calibration data and proprietary alignment specifications.
- Fleet account contracts including per-tire pricing and service level agreements.
- Customer databases including vehicle fitment records and service histories.
- Marketing campaign data, franchise or authorized dealer terms, and vendor contracts for tire disposal services.
Standard exclusions apply for publicly available, previously known, independently developed, and third-party sourced information.
Obligations of Confidentiality
The Receiving Party shall protect all Confidential Information with at least reasonable care and shall not disclose wholesale pricing, fleet contract terms, or alignment calibration data to any person other than authorized Representatives.
Permitted Disclosures and Third Parties
Disclosure may be made to Representatives, including tire distributors, alignment equipment vendors, and fleet account managers, who require access for the Purpose, provided each has executed written confidentiality obligations.
Term, Termination, and Survival
This Agreement shall remain in effect for two years from execution. Obligations relating to manufacturer pricing agreements, fleet contract terms, and customer databases shall survive termination for an additional two-year period.
