"Subscription Platform" means the website and mobile application through which customers select meal plans, manage their dog's dietary profile, and process recurring payments.

"Shares" means all ordinary shares. "Active Subscribers" means customers with a current, recurring dog food delivery subscription. "Regulatory Approvals" means all pet food manufacturing licences, labelling compliance certifications, and food safety registrations. Fair Market Value accounts for Active Subscriber count, average revenue per subscriber, churn rate, Product Formulation intellectual property, Production Facility capacity, Subscription Platform technology, Regulatory Approval status, and customer acquisition cost metrics.

Noble Hound Nutrition has 1,000 ordinary shares. The founder and canine nutritionist holds 55%, having developed the Product Formulations, built the initial subscriber base through veterinary partnerships, and designed the Subscription Platform experience. A consumer goods investor holds 30%, funding Production Facility setup and initial ingredient procurement. A marketing partner holds 15%, driving customer acquisition through digital advertising and pet influencer partnerships.

Subscription metrics define value. The shareholders agree that Active Subscriber count, monthly recurring revenue, and customer lifetime value are the primary valuation inputs. Product Formulation differentiation and Regulatory Approval compliance support premium positioning. Pre-emption rights apply.
