Pool Cleaning Service NDA Generator

This Non-Disclosure Agreement is entered into by and between the parties identified hereto. The Disclosing Party operates a pool cleaning service providing maintenance, chemical balancing, equipment repair, and inspection services for residential and commercial swimming pools, spas, and water features.

The purpose of this Agreement is to protect proprietary and confidential information exchanged during discussions relating to the Disclosing Party's pool cleaning operations. Such discussions may concern client lists and recurring maintenance contracts, proprietary water chemistry management protocols, chemical supplier arrangements, equipment specifications, route optimization systems, property access and security gate codes, and pricing structures.

The Receiving Party acknowledges that the pool service industry relies upon recurring client relationships, specialized chemical management expertise, property access trust, and efficient route-based operations. Unauthorized disclosure of client information, property access credentials, or proprietary service methodologies could result in direct loss of accounts.

"Confidential Information" means all non-public information relating to the pool cleaning business. This includes, without limitation.

1. Client lists, recurring service contracts, property access codes, security gate credentials, and service history records.
2. Proprietary water chemistry management protocols, chemical dosing formulas, pH and chlorine balancing techniques, salt system calibration procedures, and algae prevention treatment methods.
3. Chemical supplier agreements, bulk purchasing arrangements, distributor pricing, and inventory management systems.
4. Equipment specifications, custom filtration system designs, pump and heater maintenance protocols, and pool automation system configurations.
5. Route optimization algorithms, scheduling software configurations, territory assignments, and seasonal capacity planning models.
6. Pricing structures, seasonal adjustment models, commercial contract bid methodologies, and financial projections.

Standard exclusions apply for publicly available, previously known, independently developed, and third-party sourced information.
