Parties & Purpose

This Non-Disclosure Agreement is entered into by and between the parties identified hereto. The Disclosing Party operates a pest control business providing inspection, treatment, prevention, and monitoring services for insects, rodents, wildlife, and other pests across residential, commercial, and industrial properties.

The purpose of this Agreement is to protect proprietary and confidential information disclosed during discussions relating to the Disclosing Party's pest control operations. Such discussions may concern client lists and recurring service contracts, proprietary treatment protocols, integrated pest management program designs, bait station placement strategies, wildlife exclusion techniques, regulatory compliance documentation, and plans for territory expansion.

The Receiving Party acknowledges that the pest control industry requires specialized licenses, regulatory compliance, and customer trust regarding the safe application of controlled substances on private property. Unauthorized disclosure of treatment protocols, client information, or property access details could cause competitive harm and raise significant safety concerns.

Definitions

"Confidential Information" means all non-public information relating to the pest control business. This includes, without limitation.

  1. Client lists, service contracts, recurring treatment schedules, property access credentials, and customer pest history records.
  2. Proprietary treatment protocols, chemical formulation preferences, application rates, bait station configurations, fumigation procedures, and integrated pest management program designs.
  3. Regulatory compliance documentation including pesticide applicator licenses, safety data sheets, EPA registration records, and environmental impact assessments.
  4. Pricing models, bid calculation methodologies for commercial contracts, recurring service pricing tiers, and cost-per-treatment analyses by pest type.
  5. Route optimization systems, scheduling algorithms, territory assignments, and workforce deployment strategies.
  6. Business plans, franchise development documents, acquisition targets, marketing strategies, and financial projections.

Standard exclusions apply for publicly available, previously known, independently developed, and third-party sourced information.

Obligations of Confidentiality

The Receiving Party shall maintain all Confidential Information in strict confidence, implement appropriate security measures for chemical treatment data, and under no circumstances use client property access information for any purpose beyond the stated Purpose.

Permitted Disclosures and Third Parties

Disclosure is permitted to legal counsel, insurance providers, and environmental or health regulators where compelled by applicable law, provided recipients are bound by written confidentiality obligations prior to receiving Confidential Information.

Term, Termination, and Survival

This Agreement remains effective for the stated term. Upon termination, all Confidential Information shall be returned or destroyed. Obligations concerning trade secrets, client access data, and proprietary treatment protocols survive termination indefinitely.
