Motorcycle Repair Shop NDA Generator

This Non-Disclosure Agreement is entered into by and between the parties identified hereto. The Disclosing Party owns or operates a motorcycle repair and service business, providing mechanical repair, custom fabrication, performance tuning, and general maintenance for motorcycles and powersport vehicles.

The purpose of this Agreement is to protect Confidential Information exchanged in connection with potential or ongoing business activities, including proprietary repair techniques, performance tuning methodologies, custom fabrication designs, parts supplier agreements, manufacturer warranty service authorization terms, customer databases, and dyno tuning data (the "Purpose").

The Parties acknowledge that the motorcycle repair industry depends on specialized technical expertise, brand-specific knowledge, and established relationships with parts distributors and manufacturer warranty programs.

"Confidential Information" means all non-public information disclosed in connection with the Purpose. This includes, without limitation.

1. Proprietary engine rebuilding procedures, transmission repair techniques, and custom fabrication blueprints.
2. Performance tuning parameters including fuel mapping, ignition timing data, and dynamometer testing results.
3. Parts vendor contracts, volume discount pricing, and manufacturer-authorized service center terms.
4. Customer records including motorcycle specifications and service histories.
5. Shop equipment configurations, specialty tool inventories, and brand-specific training materials.
6. Business plans, marketing strategies targeting motorcycle brand communities, and financial projections.

Standard exclusions apply for publicly available, previously known, independently developed, and third-party sourced information.
