Parties & Purpose
This Non-Disclosure Agreement (the "Agreement") is entered into by and between the Disclosing Party and the Receiving Party. The purpose of this Agreement is to protect proprietary and confidential information exchanged in connection with food truck operations, including but not limited to mobile kitchen configurations, route planning strategies, event booking arrangements, menu engineering for limited-space preparation, commissary kitchen agreements, and mobile point-of-sale integrations (the "Purpose").
Such disclosures may encompass vehicle modification blueprints, compact kitchen workflow designs, generator and power management systems, food safety protocols adapted for mobile environments, and location scouting intelligence including foot traffic analysis and permit acquisition strategies.
This Agreement applies to all Confidential Information disclosed by either Party before, on, or after the effective date of this Agreement, whether disclosed orally, in writing, electronically, or by any other means. The Parties recognize that in the mobile food service industry, proprietary knowledge regarding high-traffic locations, event organizer relationships, and efficient mobile kitchen operations constitutes a significant competitive advantage, and that unauthorized disclosure could result in material commercial harm to the Disclosing Party.
Definitions
"Confidential Information" means any and all non-public information disclosed by the Disclosing Party to the Receiving Party in connection with the Purpose. This includes, without limitation, the following categories.
- Vehicle specifications including custom kitchen build-out designs, equipment layout configurations for maximizing preparation efficiency in confined spaces, generator capacity calculations, ventilation system engineering, and vehicle maintenance schedules that minimize operational downtime.
- Route and location intelligence including high-revenue parking locations, foot traffic analysis data, municipal permit acquisition strategies, relationships with property owners for regular parking arrangements, and seasonal location rotation calendars.
- Menu systems including recipes adapted for mobile preparation constraints, ingredient pre-preparation schedules at commissary kitchens, portion control methods for high-volume service windows, and speed-of-service optimization techniques.
- Financial data including per-location revenue analytics, fuel and generator cost calculations, commissary rental expense structures, event appearance fees, and catering rate cards for private bookings.
- Event and festival relationships including booking agreements with event organizers, preferred vendor status arrangements, festival circuit schedules, and corporate catering client lists.
- Technology integrations including mobile POS system configurations, online ordering platform setups, GPS tracking and fleet management tools, and social media location announcement automation systems.
"Confidential Information" shall not include information that: (a) is or becomes generally available to the public other than through a breach of this Agreement; (b) was already in the Receiving Party's possession prior to disclosure; (c) is independently developed by the Receiving Party; or (d) is received from a third party not bound by confidentiality obligations.
Obligations of Confidentiality
The Receiving Party shall safeguard all proprietary food truck information including route data, location intelligence, vehicle build-out specifications, and event organizer relationships with at least the same degree of care applied to its own confidential commercial information.
Permitted Disclosures and Third Parties
Confidential Information may be disclosed to employees, commissary kitchen operators, and professional advisors who require access for the Purpose, provided each is bound by written confidentiality obligations no less protective than this Agreement.
Term, Termination, and Survival
This Agreement remains in effect throughout the business relationship and for two years following termination. Obligations concerning proprietary location intelligence, vehicle design specifications, and event organizer relationships shall survive until such information becomes publicly available.
