Parties & Purpose

"Confidential Information" includes, without limitation.

  1. Donut dough formulations including yeast-raised dough recipes with precise flour, sugar, fat, egg, and yeast ratios, cake donut batter compositions, brioche-style enriched dough recipes, proofing schedules, and proprietary leavening techniques.
  2. Frying methodology data including oil type and blend specifications, frying temperature calibrations, fry time by donut size and type, oil filtration and replacement schedules, and equipment modifications for consistent results.
  3. Glaze, frosting, and topping recipes including sugar glaze viscosity formulations, chocolate ganache ratios, cream cheese frosting compositions, maple and specialty flavor glaze recipes, and topping sourcing.
  4. Filling formulations including vanilla and chocolate custard recipes, Bavarian cream compositions, fruit jam and curd preparations, and injection techniques for consistent fill weights.
  5. Financial data including cost-per-donut calculations, ingredient cost management strategies, wholesale pricing for cafe and grocery accounts, catering order economics, and production volume planning models.
  6. Production and operations systems including overnight baking schedules, multi-batch production workflows, display case rotation procedures, quality control standards for size and weight consistency, and packaging specifications.

Standard exclusions apply for publicly available, previously known, independently developed, and third-party sourced information.

Obligations of Confidentiality

The Receiving Party shall maintain strict confidentiality over all proprietary donut shop information including dough formulations, glaze and filling recipes, frying methodology parameters, and production scheduling systems, exercising no less than the same degree of care used for its own most sensitive trade secrets.

Permitted Disclosures and Third Parties

Disclosure is permitted to bakers, production staff, and professional advisors who require access for the Purpose, provided each is bound by written confidentiality obligations at least as restrictive as this Agreement.

Term, Termination, and Survival
