Parties & Purpose
This Non-Disclosure Agreement (the "Agreement") is entered into by and between the party disclosing confidential information (the "Disclosing Party") and the party receiving such information (the "Receiving Party"), collectively referred to as the "Parties."

The Parties acknowledge that in the course of discussions and negotiations relating to the Purpose, each Party may disclose or make available to the other Party certain information that is proprietary, confidential, or otherwise not publicly known. Such disclosures may encompass specialty coffee blend compositions, grind calibration protocols, water chemistry specifications, and extraction parameters that define the Disclosing Party's product quality and brand differentiation.
This Agreement applies to all Confidential Information disclosed by either Party before, on, or after the effective date of this Agreement, whether disclosed orally, in writing, electronically, or by any other means. The Parties recognize that in the specialty coffee industry, proprietary knowledge regarding origin relationships, roasting curves, and beverage innovation represents a significant competitive asset, and that unauthorized disclosure could cause irreparable commercial harm to the Disclosing Party.
Definitions
"Confidential Information" means any and all non-public information, whether in written, oral, electronic, visual, or other form, disclosed by the Disclosing Party to the Receiving Party in connection with the Purpose. This includes, without limitation, the following categories of information specific to coffee shop operations.
- Proprietary espresso blend ratios, single-origin sourcing contracts, green bean purchase agreements, roast profile data, grind size calibrations, and brewing parameters including water temperature, pressure, and extraction timing for signature beverages.
- Financial information including cost-per-cup calculations, milk and alternative milk cost analyses, average transaction values, peak-hour revenue metrics, and profit margins on food and beverage categories.
- Supplier relationships including direct-trade agreements with coffee farms, equipment vendor contracts, bakery and food supplier arrangements, and negotiated wholesale pricing for consumable goods such as cups, lids, and packaging.
- Operational methodologies including barista workflow station design, drink queue management systems, quality control procedures for espresso calibration, milk steaming techniques, and latte art training curricula.
- Customer data and marketing strategies including loyalty card program structures, mobile ordering system configurations, customer purchase pattern analytics, and seasonal menu launch strategies.
- Interior design concepts, brand identity guidelines, music curation playlists, and ambient environment specifications that contribute to the distinctive customer experience.
"Confidential Information" shall not include information that: (a) is or becomes generally available to the public other than through a breach of this Agreement; (b) was already in the Receiving Party's possession prior to disclosure, as evidenced by written records; (c) is independently developed by the Receiving Party without use of or reference to the Confidential Information; or (d) is received from a third party who is not bound by any obligation of confidentiality with respect to such information.
Obligations of Confidentiality
The Receiving Party shall protect all disclosed coffee shop trade secrets including blend formulations, roasting profiles, supplier contracts, and barista training materials with at least the same degree of care applied to its own confidential information, and shall not use such information for any purpose outside the stated Purpose.
Permitted Disclosures and Third Parties
Confidential Information may be shared with employees, baristas, and professional advisors who require access to fulfill the Purpose, provided each such individual is bound by confidentiality obligations no less restrictive than those contained herein. Prior written notice is required before any legally compelled disclosure.
Term, Termination, and Survival
This Agreement remains in force throughout the business relationship and for two years following its termination. Obligations concerning proprietary blend formulations, direct-trade sourcing agreements, and roasting methodologies shall survive indefinitely until the information enters the public domain through no fault of the Receiving Party.
