Parties & Purpose

This Non-Disclosure Agreement is entered into by and between the parties identified hereto. The Disclosing Party operates a cleaning service business providing residential, commercial, or specialized cleaning services including routine maintenance, deep cleaning, move-in/move-out, and post-construction cleaning.

The purpose of this Agreement is to protect proprietary and confidential information exchanged during discussions relating to the Disclosing Party's cleaning service operations. Such discussions may concern client lists and service contracts, proprietary cleaning formulations and chemical mixtures, equipment specifications, employee training programs, pricing structures and bid calculation methodologies, route scheduling algorithms, key access and security protocols for client premises, and plans for geographic expansion.

The Receiving Party acknowledges that the cleaning service industry is intensely competitive and that client relationships, proprietary operating procedures, and workforce management systems represent core competitive advantages. Unauthorized disclosure of client information, pricing models, or operational methodologies could result in direct loss of business.

Definitions

"Confidential Information" means all non-public information relating to the cleaning service business. This includes, without limitation.

  1. Client lists, service agreements, contract terms, property access credentials, security alarm codes, and key management protocols for residential and commercial premises.
  2. Proprietary cleaning formulations, chemical mixing ratios, surface-specific treatment protocols, and eco-friendly or hypoallergenic product specifications.
  3. Pricing models, bid calculation methodologies, labor cost analyses, supply cost structures, and competitive bid intelligence.
  4. Employee training curricula, quality assurance checklists, inspection scoring systems, and performance evaluation frameworks.

  6. Business plans, franchise development documents, expansion strategies, insurance and bonding documentation, and financial projections.

Standard exclusions apply for publicly available, previously known, independently developed, and third-party sourced information.

Obligations of Confidentiality

The Receiving Party shall protect all Confidential Information with strict security measures, restrict access to authorized personnel, and under no circumstances use client access credentials, security codes, or property information for any purpose beyond the stated Purpose.

Permitted Disclosures and Third Parties

Disclosure may be made to professional advisors, insurance underwriters, and regulatory authorities where required by applicable law, provided recipients execute written confidentiality agreements before receiving any Confidential Information.

Term, Termination, and Survival

This Agreement shall remain in effect for the stated term. Upon termination, the Receiving Party shall return or destroy all Confidential Information. Obligations regarding client data, access credentials, and trade secrets survive indefinitely.
