Parties & Purpose

This Non-Disclosure Agreement is entered into by and between the parties identified hereto. The Disclosing Party operates a vending machine business engaged in the placement, stocking, maintenance, and operation of automated retail vending units across various commercial, industrial, and public locations.

The purpose of this Agreement is to protect proprietary and confidential information exchanged during discussions relating to the Disclosing Party's vending machine operations. Such discussions may concern location contracts and placement agreements, route optimization strategies, machine inventory and sales performance data, supplier and product distributor pricing, proprietary telemetry and remote monitoring systems, cashless payment integration technology, and plans for fleet expansion.

The Receiving Party acknowledges that the vending machine industry is highly competitive and that success depends upon securing premium placement locations, optimizing product selection for specific demographics, and leveraging technology for real-time inventory monitoring. Unauthorized disclosure could cause material competitive harm.

Standard exclusions apply for publicly available, previously known, independently developed, and third-party sourced information.

Obligations of Confidentiality

The Receiving Party shall safeguard all Confidential Information using commercially reasonable security measures, limit disclosure to personnel directly involved in the Purpose, and refrain from soliciting the Disclosing Party's location contracts or supplier arrangements.

Permitted Disclosures and Third Parties

Disclosure is permitted to legal counsel, financial advisors, and regulatory authorities where compelled by law, provided such recipients are bound by confidentiality obligations substantially similar to those contained in this Agreement.

Term, Termination, and Survival

This Agreement remains effective for the stated term. Obligations concerning location contracts, telemetry systems, and trade secrets shall survive termination for the period specified herein or indefinitely for trade secrets.

Frequently asked questions

What is the difference between a mutual and one-way NDA?

A one-way NDA protects one party's information. A mutual NDA protects both parties when both sides are sharing confidential information. You can specify which type you need.

How long should an NDA last?

Most NDAs last between 1-5 years. The appropriate duration depends on the nature of the information and your business relationship. You specify the term during generation.

Can I use this before pitching to investors?

Yes, though note that many investors prefer not to sign NDAs before initial meetings. NDAs are more commonly used for detailed due diligence stages.

Is this enforceable in court?

Our NDAs follow standard legal frameworks with clear definitions, reasonable restrictions, and proper governing law clauses. Have a lawyer review for maximum enforceability.
