Parties & Purpose

Definitions
"Confidential Information" means all non-public information disclosed in connection with the Purpose. This includes, without limitation.
- Proprietary transmission rebuilding specifications, internal clearance tolerances, and valve body reconditioning procedures.
- Torque converter remanufacturing techniques and stall speed specifications.
- Diagnostic flowcharts and electronic control module reprogramming procedures.
- Parts supplier contracts including pricing for hard parts, soft parts, and friction materials.
- Core exchange program terms and remanufactured unit inventory data.
- Warranty program parameters, customer drivetrain service histories, and labor guide calculations.
Standard exclusions apply for publicly available, previously known, independently developed, and third-party sourced information.
Obligations of Confidentiality
The Receiving Party shall maintain all Confidential Information in strict confidence, applying at least reasonable care, and shall not disclose rebuild specifications, valve body calibration data, or core exchange terms except as expressly permitted.
Permitted Disclosures and Third Parties
Disclosure may be made to Representatives, including parts suppliers, torque converter remanufacturers, and warranty administrators, who require access for the Purpose and who have executed written confidentiality agreements.
Term, Termination, and Survival
This Agreement shall remain in effect for two years from execution. Obligations concerning proprietary rebuild procedures, diagnostic methodologies, and customer service records shall survive termination for an additional two years.
