Definitions

Standard exclusions apply for publicly available, previously known, independently developed, and third-party sourced information.
Obligations of Confidentiality
The Receiving Party shall maintain all Confidential Information in strict confidence, applying reasonable care, and shall not disclose franchise royalty terms, OTA commission rates, or occupancy data to any person except as expressly permitted.
Permitted Disclosures and Third Parties
Disclosure is permitted to Representatives with a legitimate need to know, including franchise consultants, property management companies, and insurance brokers, provided each is bound by written confidentiality obligations.
Term, Termination, and Survival
This Agreement shall remain in effect for two years from execution. Obligations concerning franchise agreement terms, guest databases, and property financial data shall survive termination for an additional two-year period.
