Parties & Purpose

The Parties recognize that proprietary patty blends, sauce formulations, and cooking techniques are foundational to brand identity and customer loyalty, and that unauthorized disclosure could result in significant and irreparable commercial harm.

Definitions

"Confidential Information" includes, without limitation.

  1. Patty formulations including beef cut selection and blend ratios such as chuck, brisket, and short rib percentages, target fat content, custom grind coarseness specifications, seasoning blends, and patty forming weight and thickness standards.
  2. Cooking methodology data including griddle or grill surface temperature calibrations, smash technique pressure specifications, cook time parameters for each doneness level, resting protocols, and cheese melting procedures.
  3. Sauce and condiment recipes including proprietary burger sauce formulations, aioli variations, specialty ketchup and mustard compositions, pickle brine recipes, and fermented or house-made condiment processes.
  4. Bun specifications including custom bakery formulations, brioche enrichment ratios, potato roll recipes, toasting temperatures, and exclusive supply arrangements with bakery partners.
  5. Financial data including food cost percentages per menu item, beef price hedging strategies, average check analytics, speed-of-service metrics, and franchise or licensing financial models.
  6. Supply chain and operations including meat supplier contracts, produce sourcing quality standards, kitchen line layout designs optimized for burger assembly throughput, and drive-through or counter service workflow systems.

Standard exclusions apply for publicly available, previously known, independently developed, and third-party sourced information.

Obligations of Confidentiality

The Receiving Party shall protect all proprietary burger restaurant information including patty blend formulations, sauce recipes, cooking methodology parameters, and bun specifications with no less than the same standard of care applied to its own most sensitive trade secrets.

Permitted Disclosures and Third Parties

Disclosure may be made to kitchen staff, grill operators, and professional advisors who require access for the Purpose, provided each individual executes a written confidentiality undertaking no less restrictive than this Agreement.

Term, Termination, and Survival

This Agreement remains in force throughout the business relationship and for two years following termination. Obligations concerning proprietary beef blend formulations, signature sauce recipes, and cooking technique specifications shall survive indefinitely.
