This Non-Disclosure Agreement is entered into to protect proprietary and confidential information exchanged in connection with sandwich shop operations, including signature sandwich compositions, bread sourcing and baking arrangements, proprietary spread and dressing formulations, deli meat and cheese procurement strategies, catering program structures, and high-volume assembly line systems (the "Purpose").

Such disclosures may encompass proprietary bread formulations or exclusive bakery supply arrangements, signature sandwich layering sequences, house-made spread and sauce recipes, ingredient specification sheets detailing exact weights and proportions, and menu engineering strategies.

The Parties recognize that proprietary recipes, supplier relationships, and efficient assembly systems that maintain quality at speed represent essential competitive assets, and that unauthorized disclosure could result in significant commercial harm.

"Confidential Information" includes, without limitation.

1. Signature sandwich formulations including exact ingredient lists, layering order specifications, bread-to-filling ratios, proprietary spread and dressing recipes, and toasting or pressing temperature and duration parameters.
2. Bread sourcing information including exclusive bakery supply agreements, custom bread formulations developed in partnership with bakers, in-house bread baking recipes, and quality standards for freshness.
3. Deli meat and cheese procurement data including supplier contracts, custom slicing thickness specifications, curing or smoking process details for house-prepared meats, and cheese selection criteria.
4. Financial data including food cost analyses per sandwich, ingredient waste tracking systems, catering order profitability models, loyalty program economics, and delivery platform commission structures.
5. Operational systems including sandwich assembly line station design, ingredient pre-portioning methodologies, peak-hour workflow management, catering order production scheduling, and quality control procedures.
6. Marketing and customer data including catering client lists, corporate lunch account databases, online ordering platform configurations, customer preference analytics, and seasonal menu promotional strategies.

Standard exclusions apply for publicly available, previously known, independently developed, and third-party sourced information.
