The parties to this Non-Disclosure Agreement are identified hereto. The "Disclosing Party" is a cake shop business engaged in the production, decoration, and sale of custom cakes, baked goods, and confectionery products for retail customers and commercial clients.

The "Purpose" of this Agreement is to protect "Confidential Information" disclosed during discussions relating to a potential franchise arrangement, partnership, or investment opportunity. Review of proprietary recipes, decoration techniques, and flavour development processes. Analysis of business data including average order values, seasonal demand patterns, and supplier pricing.

Custom cake businesses invest significantly in developing signature recipes, mastering advanced decoration techniques, and building relationships with specialist ingredient suppliers. These assets represent the core of the Disclosing Party's competitive differentiation, and unauthorised disclosure could result in direct replication by competitors.

"Confidential Information" includes all non-public information disclosed in connection with the Purpose, including without limitation.

1. Recipes and Formulations: proprietary cake recipes, buttercream and ganache formulas, fondant compositions, flavour pairings, and baking temperature and timing protocols.
2. Decoration Techniques: signature piping methods, sugar craft processes, edible printing configurations, structural engineering methods for tiered cakes, and custom mould designs.
3. Supplier Arrangements: ingredient supplier identities, negotiated pricing, bulk purchase agreements, and delivery logistics for specialty items.
4. Financial and Operational Data: pricing schedules by product tier, cost-per-unit analyses, staffing models, and production scheduling systems.

Standard exclusions apply for publicly available, previously known, independently developed, and third-party sourced information.
