Parties & Purpose

Definitions

"Confidential Information" includes, without limitation.

  1. Supplier and procurement data including wholesale contracts, direct purchasing agreements, negotiated cost-of-goods pricing, volume discount structures, trade promotion allowances, slotting fee arrangements, and exclusive product agreements.
  2. Private-label and store-brand information including product formulation specifications, co-packer identities, packaging designs, quality benchmarking data, and margin analysis comparing private-label to branded alternatives.
  3. Store layout and merchandising systems including planogram designs, shelf space allocation methodologies, end-cap and promotional display strategies, customer traffic flow analyses, and seasonal merchandising rotation calendars.
  4. Pricing and margin data including category-level margin targets, competitive price matching algorithms, dynamic pricing models, loss-leader strategies, promotional markdown schedules, and basket-level profitability analyses.
  5. Inventory and supply chain systems including automated replenishment algorithms, demand forecasting models, warehouse configurations, cold chain logistics specifications, and shrinkage reduction methodologies.
  6. Customer data and loyalty systems including loyalty program architecture, customer segmentation models, purchase history databases, personalized offer generation algorithms, and delivery platform partnership arrangements.

Standard exclusions apply for publicly available, previously known, independently developed, and third-party sourced information.

Obligations of Confidentiality

The Receiving Party shall protect all proprietary grocery store information including supplier pricing data, private-label formulations, planogram designs, and customer loyalty analytics with no less than the same degree of care applied to its own most sensitive trade secrets.

Permitted Disclosures and Third Parties

Disclosure may be made to store managers, category buyers, and professional advisors who require access for the Purpose, provided each is bound by written confidentiality obligations no less restrictive than this Agreement.

Term, Termination, and Survival

This Agreement remains effective throughout the business relationship and for two years following termination. Obligations regarding proprietary supplier pricing, private-label product specifications, customer data, and inventory management algorithms shall survive indefinitely.
