This Non-Disclosure Agreement is entered into to protect proprietary and confidential information exchanged in connection with ice cream parlor operations, including ice cream and gelato formulations, flavor development processes, dairy and ingredient sourcing, freezing and churning methodologies, retail presentation strategies, and franchise or expansion models (the "Purpose").

Such disclosures may encompass base mix compositions including butterfat percentages, sugar ratios, stabilizer blends, and emulsifier specifications. They may also include proprietary flavor infusion techniques, mix-in incorporation methods, and seasonal flavor rotation strategies.

The Parties recognize that in the artisan frozen dessert industry, proprietary recipes, production techniques, and flavor innovation pipelines represent essential competitive assets, and that unauthorized disclosure could cause substantial and irreparable commercial damage to the Disclosing Party.

"Confidential Information" includes, without limitation.

1. Proprietary ice cream, gelato, and sorbet formulations including base mix recipes, butterfat and overrun percentages, sugar and sweetener ratios, stabilizer and emulsifier blends, flavor extract concentrations, and mix-in integration techniques.
2. Production methodologies including batch freezing parameters, continuous freezing machine calibrations, pasteurization protocols, aging schedules for base mixes, and hardening procedures for optimal scoop consistency.
3. Flavor development information including seasonal and limited-edition concepts in development, flavor testing results, customer preference research data, and collaboration arrangements with local suppliers for signature ingredients.
4. Financial data including cost-per-scoop calculations, dairy and ingredient cost trend analyses, seasonal revenue patterns, catering and wholesale pricing structures, and franchise fee models.
5. Supplier relationships including dairy farm sourcing agreements, specialty ingredient vendor contracts for vanilla beans, chocolate couverture, and fruit purees, and waffle cone and packaging supplier terms.
6. Retail and marketing strategies including store layout designs, display case presentation techniques, loyalty program structures, and social media content strategies centered on visual product appeal.

Standard exclusions apply for publicly available, previously known, independently developed, and third-party sourced information.
