This Non-Disclosure Agreement is entered into by and between the parties identified hereto. The Disclosing Party is a beauty salon business engaged in professional skincare, makeup, waxing, threading, eyelash, eyebrow, and related aesthetic services.

The purpose of this Agreement is to protect Confidential Information exchanged in connection with evaluation of a potential business partnership, franchise arrangement, or brand licensing deal. Review of proprietary treatment protocols, skincare formulations, and service delivery standards. Analysis of business data including client volumes, service category revenue, and product retail margins.

The beauty industry relies on brand perception, client trust, and proprietary service differentiation. Unauthorized disclosure could enable direct competition and cause material harm to reputation and revenue.

"Confidential Information" includes, without limitation.

1. Treatment Protocols: proprietary facial sequences, skincare formulations, chemical peel protocols, waxing techniques, and lash application methods.
2. Client Information: client databases, skin type assessments, allergy records, treatment histories, and preference profiles.
3. Business Data: revenue by service line, product margins, therapist commission structures, and expansion plans.
4. Operations: treatment room layouts, sanitation procedures, brand guidelines, and social media strategies.

Standard exclusions apply for publicly available, previously known, independently developed, and third-party sourced information.
