This Non-Disclosure Agreement is entered into by and between the parties identified hereto. The Disclosing Party is a farming operation engaged in the cultivation of crops, raising of livestock, or production of agricultural products, including associated processing, distribution, and direct-to-consumer sales.

The purpose of this Agreement is to protect Confidential Information exchanged in connection with evaluation of a potential business transaction, partnership, supply agreement, or investment. Review of agricultural methodologies including crop rotation schedules, soil management techniques, and livestock breeding programs. Analysis of business data including yield records, production costs per acre, and commodity sale prices.

Modern farming operations involve significant proprietary knowledge developed through generations of experience, investment in precision agriculture technology, and cultivation of buyer relationships.

"Confidential Information" includes, without limitation.

1. Agricultural Methods: crop rotation plans, soil analyses, fertilizer formulations, irrigation schematics, seed selections, and livestock genetics and feed ration formulations.
2. Land and Resource Information: parcel descriptions, water rights documentation, mineral rights records, and environmental impact assessments.
3. Financial Data: production cost analyses, commodity contract terms, buyer identities, wholesale pricing, and subsidy applications.
4. Equipment and Technology: equipment inventories, GPS guidance configurations, drone data, and automated feeding system specifications.

Standard exclusions apply for publicly available, previously known, independently developed, and third-party sourced information.
