This Non-Disclosure Agreement is entered into by and between the parties identified hereto. The Disclosing Party owns or operates a home-based daycare providing childcare, early learning activities, and supervised care for a small group of children within a residential setting.

The purpose of this Agreement is to protect Confidential Information exchanged in connection with potential or ongoing business activities, including child enrollment records, daily activity schedules, home address and residential property details, licensing records, tuition and fee structures, meal planning and dietary accommodation records, emergency contact lists, and parent communication practices (the "Purpose").

The Parties acknowledge that home-based daycare operations are uniquely sensitive because they involve private residential premises, small group sizes that make individual children more identifiable, and intimate knowledge of family circumstances. Unauthorized disclosure could compromise child safety and expose the provider's home address.

"Confidential Information" means all non-public information disclosed in connection with the Purpose. This includes, without limitation.

1. Child enrollment records including names, birth dates, medical conditions, allergies, and immunization records.
2. Family contact information, emergency contact lists, and the provider's residential address and property layout.
3. Home daycare licensing documentation, regulatory inspection results, and daily activity plans.
4. Tuition rates, payment schedules, meal menus, and individual dietary accommodation records.
5. Behavioral observation notes, parent conference records, and insurance coverage details.
6. Assistant or substitute caregiver arrangements and background check records.

Any information pertaining to children, their families, or the provider's residential address shall be presumed confidential unless clearly demonstrated otherwise. Standard exclusions apply for publicly available, previously known, independently developed, and third-party sourced information.
